End User License Agreement (EULA)

iGP Manager is a computer game developed and operated by iGP Games (the “Game”). In this agreement, “iGP Games” means iGP Games Limited (company number 07570695) and its subsidiaries and affiliates; “you” and “your” mean the user of the device on which the Game will be or has been accessed or installed. All portions of this End User License Agreement apply regardless of which iGP Games entity provides the Game to you.

PLEASE READ THIS END USER LICENSE AGREEMENT (THIS “EULA” OR “LICENSE AGREEMENT”) CAREFULLY. BY CLICKING “ACCEPT”, CREATING AN ACCOUNT, INSTALLING THE GAME CLIENT SOFTWARE (THE “SOFTWARE”), OR USING THE GAME, YOU AGREE THAT THIS LICENSE AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN CONTRACT SIGNED BY YOU. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE OR THE GAME. BY ENTERING INTO THIS LICENSE AGREEMENT YOU REPRESENT THAT YOU ARE AN ADULT WITH CAPACITY TO CONTRACT WHERE YOU RESIDE, or that you are 13 or over and a parent or guardian has agreed on your behalf.

Nothing in this License Agreement excludes rights you have as a consumer under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or any other law that cannot be excluded. Digital content we supply to UK consumers must be of satisfactory quality, fit for purpose and as described; those rights sit alongside this EULA.

I. LIMITED USE LICENSE

Subject to this License Agreement, iGP Games grants you a limited, non-exclusive, non-transferable licence to install and use, solely as a component of the Game, (i) the Software and related explanatory materials (“Documentation”); and (ii) any Software upgrades, patches, subsequent versions and updates (collectively, “Updates”) we license to you. The Software and the Game are for your individual, non-commercial, entertainment use only. Except as we expressly permit, you may not sell, copy, exchange, transfer, publish, assign or otherwise distribute anything you copy or derive from the Software or the Game.

This licence covers the Game as made available on the Site, mobile applications, and any desktop or store clients we publish.

II. REQUIREMENTS

By installing or using the Software and playing the Game, you agree to this License Agreement. You must also: (i) agree to the iGP Games Terms of Service, incorporated by reference; (ii) register for an account in the Game (an “Account”) as explained in the Terms of Service; and (iii) meet the hardware and connection requirements published at igpmanager.com (the “Site”). Those requirements may change as the Game evolves. You are responsible for internet connection fees and for equipment, servicing or repair needed to access the Game.

III. ADDITIONAL LICENSE LIMITATIONS

The licence in Section I is subject to the limits below. Use outside those limits is unauthorised and may infringe copyrights iGP Games holds in the Software and the Game. You agree that you will not:

A. Sell, lease, rent, loan or otherwise transfer the Software, or grant a security interest in or transfer reproductions of the Software or the Game, to a third party;

B. Copy, photocopy, reproduce, translate, reverse engineer, decompile, derive source code from, or disassemble, in whole or in part, the Software or the Game, or create derivative works based on the Game, except that you may (i) make one (1) copy of the Software and the Documentation for personal archival purposes only; and (ii) use third-party image and video capture software to capture the output of the Software as audio, video and/or still image files for personal, not-for-profit use pursuant to the Terms of Service. Where applicable law (including EU/UK software copyright exceptions) gives you a non-waivable right to decompile for interoperability, this clause does not take that right away;

C. Modify or cause to be modified any files that are part of the Software in any way not expressly authorised by iGP Games;

D. Use the Software or the Game for any commercial purpose, including (i) playing in exchange for payment (for example “levelling” services); or (ii) selling in-Game items outside the Game, or selling Game Accounts, except transactions we authorise and run ourselves; or

E. Use unauthorised third-party programs that interact with the Software, including “mods,” “hacks,” “cheats,” “scripts,” “bots,” “trainers,” or automation programs, or any program that intercepts, emulates or redirects communication between the Software and iGP Games, or that reads memory used by the Software to store information about the Game.

IV. OWNERSHIP

All rights and title in and to the Software and the Game, and all content included therein (including Accounts, computer code, titles, objects, characters, locations, stories, artwork, animations, sounds, musical compositions, audio-visual works, character likenesses and methods of operation) are owned by iGP Games or its licensors and are protected by the laws of England and Wales and other intellectual property laws. iGP Games and its licensors reserve all rights, including the exclusive right to create derivative works. You have no ownership or other property interest in your Account or in any feature or content of the Game. See the Terms of Service for a fuller statement of ownership.

V. CODE OF CONDUCT

While using the Software and playing the Game, you agree to comply with applicable laws and with the additional rules below (the “Code of Conduct”). The list is not exhaustive. iGP Games may change it and may take disciplinary measures including Account termination to protect the Game, including to comply with the UK Online Safety Act 2023 and other safety or content laws. Examples of prohibited behaviour:

A. Impersonating any person, business or entity, including an employee of iGP Games, or communicating as if the message comes from iGP Games;

B. Posting identifying information about yourself or any other user in the Game;

C. Harassing, stalking or threatening any other users;

D. Removing or concealing proprietary-rights notices, or transmitting content that infringes others’ rights;

E. Transmitting content which, in iGP Games’ reasonable judgement, is offensive, unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, or racially, ethnically or otherwise objectionable, or which is illegal under UK or other applicable law;

F. Transmitting viruses, malware, keyloggers, scrapers or other harmful code;

G. Spamming chat;

H. Exploiting an undocumented aspect of the Game for an unfair advantage;

I. Defrauding any other user, including by “scamming” or “social engineering;”

J. Accessing or attempting to access areas of the Game or Game servers that have not been made available to the public;

K. Selecting a Game name or supplying manager information that falsely suggests an association with iGP Games, contains personal data, infringes third-party rights, or is offensive. iGP Games may change such a name without further notice and may take further measures for repeated breaches.

VI. CONSENT TO MONITORING

Where the Software includes integrity, anti-cheat or similar measures, it may check for unauthorised third-party programs prohibited by Section III.E. We do that to provide a fair Game. If such a program is detected, information may be sent to iGP Games, including your Account name, IP address, details of the program, the time it was detected, and limited device/performance data. If the Software detects an unauthorised program, your access may be terminated with or without further notice.

Personal data you provide is handled under the iGP Games Privacy Policy, which is incorporated by reference. The Privacy Policy is at https://igpmanager.com/privacy. Do not use the Game if you do not agree with it.

VII. UPDATES AND MODIFICATIONS

A. The Software and the Game. iGP Games may provide Updates that must be installed for you to continue to play. Each time you launch the Software you authorise iGP Games to install Updates on your device, with or without extra notice, except where the platform (for example an app store) requires you to confirm an update.

B. License Agreement. iGP Games may revise this License Agreement as the Game and the law evolve. Material changes will not be applied retroactively. The current version is at the “EULA” link at https://igpmanager.com/eula. If a future version is unacceptable, you may terminate this License Agreement under Section VIII and must stop playing and uninstall the Software. Your continued use after a revision is acceptance of the changes, except where consumer law says otherwise.

VIII. TERMINATION OF AGREEMENT

This License Agreement is effective until terminated. You may terminate it at any time by notifying iGP Games. iGP Games may terminate it where you have breached it, where we stop offering the Game, or where the law requires. Upon termination the licence in Section I ends and you must remove the Software from your device and destroy copies in your possession. Sections that by their nature should survive (including IV and X–XVI) will survive.

IX. TERMINATION OF GAME SERVICE

The Game is an online game. iGP Games may stop providing support for or access to the Game, or change, suspend or restrict features, including where we have a legitimate operational reason. We will give notice where it is reasonable and practical to do so. You have no monetary interest in any feature or content of the Software or the Game, without prejudice to your statutory consumer rights in paid digital content.

X. EXPORT CONTROLS

The Software is subject to applicable export restrictions. You must comply with UK, EU, US and other export and import laws relating to the Software. You may not export or install the Software in a country that is subject to a comprehensive UK, EU or UN embargo, or if you are a person with whom we are prohibited from dealing. You represent that you are not located in, under the control of, or a national or resident of any such country, and that you are not a denied or restricted party.

XI. WARRANTY DISCLAIMER

SUBJECT TO YOUR NON-EXCLUDABLE CONSUMER RIGHTS, THE GAME (INCLUDING THE SOFTWARE AND THE DOCUMENTATION) IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, iGP GAMES DISCLAIMS IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. iGP GAMES DOES NOT WARRANT THAT THE GAME OR SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Because some jurisdictions do not allow the disclaimer of implied warranties, the foregoing disclaimer may not apply to you in whole or in part. For UK consumers, this section does not affect your statutory rights.

XII. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify, defend and hold harmless iGP Games from claims, damages, losses, liabilities and costs (including reasonable legal fees) that arise from your misuse of the Game or Software or your breach of this License Agreement. This does not require a consumer to indemnify iGP Games for iGP Games’ own negligence or wrongdoing. iGP Games may assume the defence of a matter otherwise subject to indemnification; you will cooperate in asserting available defences.

XIII. LIMITATION OF LIABILITY

SUBJECT TO THE PARAGRAPHS BELOW, UNDER NO LEGAL THEORY SHALL iGP GAMES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF BUSINESS, DATA, GOODWILL OR PROFITS, ARISING FROM YOUR USE OR MISUSE OF THE SOFTWARE OR THE GAME, EVEN IF iGP GAMES KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. iGP GAMES SHALL NOT BE LIABLE FOR LOSS OF PLAYER CHARACTERS, VIRTUAL GOODS OR VIRTUAL CURRENCY, ACCOUNTS, STATISTICS OR PROFILE INFORMATION, OR FOR INTERRUPTIONS OF SERVICE OUTSIDE ITS REASONABLE CONTROL. SUBJECT TO YOUR STATUTORY RIGHTS, iGP GAMES’ TOTAL LIABILITY FOR GAME-RELATED CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO iGP GAMES FOR GAME-RELATED TRANSACTIONS IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE, OR £100, WHICHEVER IS GREATER.

Nothing in this License Agreement limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation or wilful default; (c) breach of UK consumer rights that cannot lawfully be limited; or (d) any other matter for which it would be unlawful to exclude or restrict liability.

XIV. EQUITABLE REMEDIES

You agree that iGP Games would suffer irreparable harm if this License Agreement were not specifically enforced, and that iGP Games may seek specific performance or other equitable relief in addition to other remedies, without prejudice to any defence you have in court.

XV. NEGOTIATIONS AND COURT PROCEEDINGS

A. Negotiations. You and iGP Games agree to try to negotiate any claim related to this License Agreement (“Claim”) for at least thirty (30) days (except Claims in Section XV.B) before starting court or similar proceedings. Notice from iGP Games goes to the email on your Account. You send notice to iGP Games Limited, Third Floor, 207 Regent Street, London, W1B 3HH, or via Support. This does not freeze limitation periods, and it does not stop you using a statutory consumer or data-protection procedure.

B. Exceptions. Negotiations need not precede Claims about intellectual property, theft, piracy, invasion of privacy or unauthorised use, or claims for injunctive relief.

C. Governing law. This Agreement is governed by the laws of England and Wales. The UN Convention on Contracts for the International Sale of Goods is excluded. Mandatory local consumer laws still apply if you access the Game from outside England and Wales. The New Zealand Consumer Guarantees Act 1993 may give extra rights if you are a New Zealand resident accessing the Game from New Zealand. Subject to those mandatory rights, the courts of England and Wales have exclusive jurisdiction, except that a consumer may also bring proceedings in the courts of their place of residence where the law so provides.

XVI. MISCELLANEOUS

This License Agreement is the complete agreement on its subject matter and coexists with, and does not supersede, the Terms of Service or the Privacy Policy. If they conflict, the Terms of Service govern the conflict. The Game is operated by iGP Games in England. Access from elsewhere is at your own initiative; you must comply with local law. Failure to enforce a provision is not a waiver. If a provision is invalid it will be reformed to the minimum extent needed, or severed. Sections IV and X through XVI survive termination. YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS END USER LICENSE AGREEMENT AND THAT BY CLICKING “ACCEPT”, INSTALLING THE SOFTWARE OR PLAYING THE GAME YOU AGREE TO BE BOUND BY IT.
